Job Purpose and Impact
The Finance Lawyer will primarily support the Cargill Trade and Capital Markets (TCM) business group (trade finance, capital markets and bank regulatory work with Banco Cargill -- Cargill’s licensed bank in Brazil - Banco Cargill | Experiência Global em Negócios Agrícolas). In addition, the role will involve some support of the Cargill Risk Management (CRM) business group (derivatives, risk management products and regulatory matters) and Cargill’s Treasury function (internal funding). As a team player, independent thinker, risk manager and problem solver, the role will be both challenging and rewarding. It will involve developing a deep understanding of relevant Cargill businesses, where support as a trusted advisor will have a material impact on our businesses achieving their goals. (#LI-ES2)

Key Accountabilities

Collaborate with members of the Cargill Law team, internal business clients and functions within Brazil and globally to structure and execute high value and complex commercial, finance and capital markets transactions.

Draft, review and negotiate legal documents, including a wide variety of contracts, such as cross-border and domestic loan agreements, export prepayments, collateral, guarantees, letter of credit facilities, securitization documents and investment fund bylaws.

Correspond, communicate and strategize with Cargill business stakeholders, outside counsel, third parties (including Cargill customers) and lawyers within the Cargill organization.

Select and collaborate with outside counsel, where appropriate, and manage outside counsel spend.

Provide practical legal and commercial advice and counsel to Cargill TCM’s structuring and business origination teams, CRM, Cargill Treasury and lawyers inside and outside of Brazil, who are part of Cargill’s global legal team.

Develop, manage and leverage systems for workflow management, tracking and communicating the status of legal matters.

Design, develop and use forms, templates, playbooks and processes and track legal trends.

Provide support on special projects as appropriate.

Pursue professional development in support of Law department and company priorities and share learning.

Work under minimal supervision and independently handle complex issues while referring only the most complex issues to higher-level staff.

Qualifications
Minimum Qualifications
-
Bachelor’s degree in law (with OAB)

Strong experience working as a finance lawyer in a bank, trading company, corporation and/or law firm
-
Strong background in Central Bank of Brazil’s and CVM’s regulations.

Solid background in the creation and formalization of Brazilian collateral and personal guarantees.

Fluent in spoken and written English.

Preferred Qualifications

MBA/LLM/Post-graduate in Banking & Finance / Corporate / Capital Markets.

Experience with agribusiness.

Experience with Investment Funds, Debt and Capital Markets & Treasury structures.

Disputes experience (Brazilian courts/international arbitration)

Good Knowledge of Spanish.
